Terms of Service

1. Service description

FTDs.ai provides a managed first-time deposit (FTD) campaign service for iGaming operators. The service includes on-site conversion interventions delivered via a lightweight JavaScript SDK, A/B testing, conversion-optimised copy variants, session analysis, and performance reporting. The operator purchases a guaranteed number of confirmed first-time depositing players delivered until the agreed FTD target is reached.

2. Payment terms

Payment is milestone-triggered. The operator pays only upon confirmed delivery of the agreed FTD target. No upfront fees, subscription charges, or recurring payments apply. Invoicing is processed via Stripe. Cryptocurrency payments are accepted via Coinbase Commerce as an alternative payment method.

3. FTD confirmation methodology

An FTD is confirmed exclusively via a signed webhook from the operator's backend system. FTD confirmations are never derived from SDK data. Each webhook is validated using HMAC-SHA256 with a per-operator shared secret. Webhooks must include a timestamp within plus or minus 5 minutes of receipt. Each FTD record includes an idempotency key to prevent duplicate counting.

4. Minimum traffic requirements

The Starter package requires a minimum of 1,000 qualified sessions per day. The Scale package requires a minimum of 2,000 qualified sessions per day. FTDs.ai reserves the right to pause or terminate a campaign if the operator's site consistently falls below the minimum traffic threshold.

5. Compliance obligations

Operator obligations

The operator is responsible for ensuring their site operates in compliance with all applicable gambling regulations in their licensed jurisdictions. The operator must maintain valid gambling licences for all markets in which interventions are served.

FTDs.ai obligations

FTDs.ai ensures all intervention copy variants undergo compliance review before activation. No intervention is served without explicit operator approval. FTDs.ai maintains market-specific compliance modes and appropriate consent flows for all supported markets.

6. Limitation of liability

FTDs.ai's total liability under any campaign agreement shall not exceed the total fees paid or payable by the operator for that campaign. FTDs.ai shall not be liable for indirect, incidental, consequential, or punitive damages. FTDs.ai is not liable for regulatory actions taken against the operator or for traffic shortfalls below the minimum threshold.

7. Intellectual property

The FTDs.ai SDK, platform, AI agents, and all associated intellectual property remain the sole property of FTDs.ai. The SDK source code is open source and inspectable. The operator retains ownership of their site content, player data, and brand assets. Intervention copy created for the operator is licensed for the operator's use during and after the campaign term.

8. Data processing

A Data Processing Agreement (DPA) must be signed before any SDK installation. A Master Service Agreement (MSA) governs the commercial relationship. No SDK installation proceeds without both agreements in place.

9. Termination

Either party may terminate the agreement with 30 days written notice. If the operator terminates before the FTD target is reached, no payment is due for undelivered FTDs. FTDs.ai will remove all SDK code and delete operator data within 30 days of termination.

10. Governing law

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
